# **MIP-36: Recognition of Halo Prime as Strategic Partner and mStocks Issuer**

## **1. Executive Summary**

This proposal asks the Mantle community to ratify — by $MNT token vote — the recognition of **Halo Prime Limited (“Halo Prime”)** as a **strategic partner** of Mantle and the **issuer of mStocks** , a product of tokenised certificates referencing listed shares built on Mantle’s infrastructure.

Ratification would: (i) authorise Mantle Foundation SA (“Mantle”) to publish the approved external statement (Section 3.2) recognising Halo Prime; (ii) formally document the scope and limits of that recognition for the benefit of $MNT holders, mStocks users, and the wider public.

The recognition is **non-exclusive, revocable, and non-financial**. It involves **no treasury allocation, no grant, no investment, and no on-chain code changes**. Its sole purpose is to recognise Halo Prime as a strategic partner of Mantle while drawing precise boundaries around what Mantle’s recognition does — and does not — mean.

## **2. Background & Rationale**

### **2.1 About Halo Prime and mStocks**

Halo Prime Limited (“Halo Prime”) is the issuer of mStocks — tokenised certificates referencing listed shares — built on Mantle’s infrastructure. Halo Prime is an independent company. Nothing in the arrangements between Mantle and Halo Prime creates a partnership, joint venture, agency, or employment relationship between them, and Halo Prime has no authority to act for or bind Mantle. References to Halo Prime as a “strategic partner” are descriptive only and do not denote a partnership in any legal sense.

Halo Prime is solely responsible for the design, issuance, marketing, and operation of mStocks, and for all offering and marketing materials relating to mStocks, including compliance with all applicable laws and regulations in each jurisdiction where it operates.

### **2.2 Strategic Cooperation**

Mantle and Halo Prime will enter into a Strategic Cooperation in respect of the mStocks programme, as reflected in the approved external statement (Section 3.2). This proposal ratifies the public recognition described in it, together with the boundaries set out below.

### **2.3 Alignment with Mantle Strategic Objectives**

This proposal advances objectives consistent with Mantle’s governance framework:

1. **Grow on-chain capital markets on Mantle.** mStocks brings tokenised exposure to listed shares onto Mantle’s infrastructure, extending the network’s product suite beyond crypto-native assets into real-world-adjacent instruments.
2. **Strengthen ecosystem partnerships at zero cost to the Treasury.** Unlike prior partnerships involving capital commitments (e.g., MIP-34’s credit facility or MIP-24’s EcoFund), this recognition commits no treasury assets. The cost to the DAO is reputational and governance attention only.
3. **Protect token holder and user confidence through explicit limits.** By ratifying the _boundaries_ of the recognition — no endorsement, no co-issuance, no guarantee, no funding — the community converts what could be an informal marketing claim into a governed, documented, and revocable framework.

### **2.4 Precedent**

Mantle governance has previously ratified relationships with independent external entities, including BIP-6 (EduDAO), MIP-24 (Mantle EcoFund), and MIP-34 (Strategic Credit Facility for Aave DAO). This proposal follows that tradition, adapted for a purely non-financial recognition.

## **3. Specification**

> The key words “MUST”, “MUST NOT”, “REQUIRED”, “SHALL”, “SHALL NOT”, “SHOULD”, “SHOULD NOT”, “RECOMMENDED”, “MAY”, and “OPTIONAL” in this document are to be interpreted as described in RFC 2119 and RFC 8174.

### **3.1 Grant of Recognition**

If this proposal passes, Mantle SHALL be authorised to recognise Halo Prime as a strategic partner of Mantle and the issuer of mStocks — tokenised certificates referencing listed shares — on the Mantle network, in accordance with the scope and limits set out in this Section 3.

### **3.2 Approved External Statement**

Upon ratification, Mantle MAY publish the following statement (the “Approved Statement”):

> **Recognition of Halo Prime as a strategic partner of Mantle**
>
> “Halo Prime is recognised by Mantle Foundation SA (“Mantle”) as a strategic partner building mStocks — tokenised certificates referencing listed shares — on the Mantle network.”
>
> **1. Summary**
>
> Halo Prime Limited (“Halo Prime”) is a strategic partner of Mantle and the issuer of mStocks — tokenised certificates referencing listed shares — on Mantle. Mantle and Halo Prime have established a strategic cooperation relationship in respect of the mStocks programme. This statement sets out the nature, scope, and limits of Mantle’s recognition of Halo Prime.
>
> **2. About Halo Prime and mStocks**
>
> Halo Prime is the issuer of mStocks, tokenised certificates referencing listed shares built on Mantle’s infrastructure. Halo Prime is an independent company. Nothing in this statement, or in the arrangements between Mantle and Halo Prime, creates a partnership, joint venture, agency or employment relationship between them, and Halo Prime has no authority to act for or bind Mantle.
>
> **3. Nature and Scope of This Recognition**
>
> This recognition reflects Halo Prime’s status as a strategic partner operating within the Mantle ecosystem — specifically, that Halo Prime has built mStocks on Mantle’s infrastructure and has established a strategic cooperation relationship with Mantle. It does not extend beyond this acknowledgement, and it is not an assessment of Halo Prime’s financial condition, systems, personnel or regulatory standing, or of the merits of mStocks.
>
> **4. What This Recognition Is Not**
>
> This recognition:
>
> - Is not an endorsement or guarantee of mStocks or any other product offered by Halo Prime, and does not represent a view on their investment merit, safety, legality, suitability or regulatory characterisation.
> - Is not co-issuance or sponsorship. Mantle is not a co-issuer, counterparty, guarantor, sponsor, promoter, distributor, adviser, operator, manager or administrator of mStocks or any product offered by Halo Prime, and has no responsibility for, and does not stand behind, any obligation of Halo Prime to any holder of mStocks or to any other person.
> - Is not a compliance certification or audit finding. Mantle has not audited, security-reviewed, or certified mStocks, any smart contract deployed by Halo Prime, the compliance of mStocks, Halo Prime’s operations, or Halo Prime’s regulatory standing in any jurisdiction, and has not verified any statement made by Halo Prime in any document.
> - Is not investment, legal, tax, or financial advice. Nothing in this statement is, or may be construed as, a recommendation or inducement to buy, sell or hold any product offered by Halo Prime, or as an assessment of suitability for any person.
> - Is not a funding commitment. This statement does not itself constitute, or create any obligation to provide, any grant, investment, loan, or treasury allocation to Halo Prime. Any funding arrangement between Mantle and Halo Prime, if any, would be documented separately and would confer no rights on any holder of mStocks or any other person.
> - Is not exclusive. Mantle may grant equivalent or similar recognition to other issuers building on Mantle.
> - Is not relied upon by any other person. This statement is addressed to Halo Prime. No holder of, or prospective investor in, mStocks may rely on it, and Mantle owes no duty of care to any such person and, to the fullest extent permitted by law, accepts no liability of any kind arising out of this statement or its use.
>
> **5. Regulatory and Risk Disclosure**
>
> Tokenised products, including mStocks, may be subject to significant regulatory uncertainty and may not be available, lawful, or suitable for offer in all jurisdictions. Mantle does not authorise or license Halo Prime’s activities in any jurisdiction and has not verified Halo Prime’s regulatory standing. Prospective users should make their own enquiries as to Halo Prime and the availability of mStocks in their jurisdiction before engaging with the product, and should conduct their own due diligence. This recognition does not alter or reduce any such risk, and does not constitute a representation by Mantle as to the legality of mStocks in any given jurisdiction.
>
> **6. No Offer**
>
> This statement does not constitute an offer to sell, or a solicitation of an offer to buy or subscribe for any product, security or other instrument, and shall not constitute an offer, solicitation, or sale in any jurisdiction in which such offer, solicitation, or sale would be unlawful.

### **3.3 Public Communications**

Halo Prime MAY publish and reference the Approved Statement in its public communications. Any public communication by Halo Prime referring to its recognition by Mantle MUST remain within the scope and limits of the Approved Statement. Joint announcements or co-marketing content SHOULD include disclaimer language substantially consistent with the Approved Statement.

### **3.4 Non-Exclusivity and Revocability**

Recognition under this proposal:

- **MUST NOT** be construed as exclusive. Mantle MAY grant equivalent or similar recognition to other issuers building on Mantle.
- **MAY** be revised, suspended or permanently withdrawn with immediate effect by Mantle, without a further vote, where it determines, acting reasonably, that continued recognition creates material legal, regulatory or reputational risk for Mantle. On suspension or withdrawal, Halo Prime MUST cease use of the Approved Statement in accordance with Section 3.3.

### **3.5 Execution Authority**

If this proposal passes, the Mantle core contributor team and Mantle Foundation SA SHALL be authorised to take all necessary actions to accomplish what is contemplated in this proposal, including but not limited to executing the Strategic Cooperation Agreement. The terms of the Strategic Cooperation Agreement are not subject to this vote.

## **4. What the Community Is NOT Voting On**

For the avoidance of doubt, this vote does **not** authorise:

- Any grant, investment, loan, or treasury allocation to Halo Prime. Any funding arrangement, if ever contemplated, MUST be documented in a separate proposal.
- Any on-chain protocol change, code deployment, or parameter modification to Mantle Network or its products.
- Any endorsement, guarantee, certification, or sponsorship of mStocks, or any assessment of the merits of mStocks.
- Any transfer of responsibility for mStocks’ regulatory compliance from Halo Prime to Mantle.
- Approval of the terms of the Strategic Cooperation Agreement, which are not subject to this vote.

## **5. Benefits to the Mantle Community**

### **5.1 Ecosystem Growth**

mStocks extends Mantle’s on-chain product suite to tokenised certificates referencing listed shares, a category of growing interest in on-chain markets. An issuer of this kind may support network activity and is consistent with Mantle’s positioning as infrastructure for tokenised capital markets.

### **5.2 Zero-Cost Strategic Positioning**

The recognition requires no capital. The community obtains the strategic benefit of hosting an issuer of tokenised certificates referencing listed shares without treasury exposure, in contrast with capital-intensive partnership proposals.

### **5.3 Governed Transparency**

Publication of the Approved Statement, ratified by vote, ensures that Halo Prime’s recognition is communicated to the public on Mantle’s terms — with explicit, community-approved boundaries — rather than through informal claims that could be misread as endorsement.

### **5.4 Clear Accountability**

The community-facing limits (no reliance, no liability, non-exclusivity, revocability) define clearly what the recognition does and does not cover, and preserve Mantle’s discretion should circumstances change.

## **6. Risks**

**Association risk.** Public recognition creates an association between Mantle and an issuer of tokenised certificates referencing listed shares in an evolving regulatory environment. Adverse developments affecting Halo Prime, mStocks or the category generally may attract attention to Mantle even though Mantle is not the issuer.

**Misuse risk.** Halo Prime, its counterparties or third parties may overstate the recognition, or describe Mantle as an issuer, sponsor or guarantor. Mitigated by the use restrictions in Section 3.3, by the correction obligations in the Strategic Cooperation Agreement, and by the suspension right in Section 3.4.

**Regulatory change risk.** The treatment of tokenised certificates referencing listed shares is unsettled and differs between jurisdictions. A change in any material market could affect the appropriateness of continued recognition. Mitigated by revocability and by the fact that the recognition confers no legal status and creates no obligation.

**Residual risk.** The recognition is a public statement by Mantle, and Mantle remains responsible for the accuracy of what it says. The community is asked to ratify it on that basis.

## **7. Voting Parameters**

Voting on this proposal follows the current Mantle Governance parameters (docs.mantle.xyz/governance/parameters/governance).

This vote is off-chain; ratification does not automatically execute code or treasury actions. Implementation is performed by the core contributor team per Section 3.5.

## **8. Implementation Pathway**

1. **Forum discussion (this document):** minimum 7 days in “Start Here ➵ Mantle Discussions and Soft Proposals” at forum.mantle.xyz, incorporating community feedback.
2. **Formal Snapshot vote:** posted to [Snapshot](http://snapshot.org/#/bitdao.eth) upon sufficient positive sentiment.
3. **Execution (if passed):** Mantle Foundation SA executes the Strategic Cooperation Agreement; the Approved Statement is published; the recognition takes effect as of publication.
4. **Reporting:** the core contributor team SHALL provide a brief status update to the community within 30 days of execution.

## **9. Rationale**

- **Why a voted recognition at all?** A unilateral statement could be issued without a vote, but Mantle’s governance framework reserves ecosystem-level designations for community ratification. A vote makes the recognition a governed, documented decision with clearer accountability for Mantle; it confers nothing beyond the recognition itself.
- **Why non-financial?** The mStocks programme is Halo Prime’s product and Halo Prime’s responsibility. Mantle’s role is infrastructure provider and recogniser, not issuer, guarantor, or investor. This keeps Mantle’s risk profile clean while preserving the strategic benefit.
- **Why non-exclusive?** Exclusivity would constrain Mantle’s ability to onboard additional issuers of tokenised certificates and could itself create competition-law and decentralisation concerns.
- **Why revocable?** Regulatory environments for tokenised certificates referencing listed shares are evolving. A recognition that cannot be withdrawn would leave the community unable to respond to material changes in Halo Prime’s status or conduct.

## **10. Call to Action**

**The Mantle community is requested to:**

1. Review the scope and limits of the recognition in Section 3 and raise any concerns in the forum thread below.
2. Confirm comfort with the non-endorsement, non-exclusivity, and revocability framework.
3. Signal support via the forum poll to advance this proposal to a formal Snapshot vote.

Will mStocks transactions, trading fees, or settlement fees be paid or settled in $MNT?

Or will everything be settled in USDC or other stablecoins?

More importantly, will $MNT have any direct utility or value accrual from this partnership??
